Questions about fees

What does a business broker charge in Texas?
Our sell-side fee is a success fee payable only at closing, on a tiered schedule: 10% of the first $1M of total consideration, 8% of the second $1M, 6% of the third, 4% of the fourth, and 2% on the balance above $4M. A $50,000 minimum applies per completed transaction. Buy-side representation is 1% to 3% of transaction value.
Do I pay anything if my business does not sell?
The success fee is earned only at closing. A monthly work fee of $5,000 to $10,000 covers active marketing, and it is credited in full against the success fee at close, so it is not an extra cost on a completed deal.
Is there a minimum fee?
Yes. The minimum engagement is $50,000 per completed transaction. Fees are negotiable by deal size and scope, and every engagement is governed by a definitive engagement letter.
What is the tail period?
Tail coverage runs 12 months on buyers we introduce during the engagement, which protects the work we do to bring a qualified buyer to the table.
Can I hire you for just a valuation?
Yes. An opinion of value or business appraisal starts from $4,500, and other services (quality-of-earnings, deal structuring, closing, marketing package) are available a la carte.
